Supplementary Terms Kickstart (Pro)

Supplementing the General Terms and Conditions of SEO Supercharged / Lux Production Group S.L.

Version 3.1 · applies to orders from 1 October 2026

This is a translation of the Dutch original; in the event of any discrepancy, the Dutch version prevails.

1. Scope, order of precedence and B2B only

1.1 These Supplementary Terms apply to the “Kickstart” service (also “Kickstart Pro”): the one-time set-up of the Customer’s online visibility carried out by SEO Supercharged (hereinafter “the Kickstart”).

1.2 They supplement the General Terms and Conditions of the App (hereinafter the “GT”). In the event of conflict regarding the Kickstart, these Supplementary Terms prevail. For all other matters (wallet, credits, use of the App, payment via Stripe, complaints, governing law) the GT apply, except where these Supplementary Terms expressly provide otherwise.

1.3 Businesses only. The Kickstart is offered to and delivered for businesses only (legal entities and natural persons acting in the course of their trade, business or profession). The Kickstart is not offered to consumers. Orders placed by or for consumers will be refused or, if this is established only later, terminated for the part not yet performed, with proportional settlement of work already delivered.

1.4 Mandatory identification. When ordering, the Customer provides its company registration number (KBO/KVK) and, where applicable, its VAT number, the name of the business and the name and position of the authorised person placing the order. No order can be placed without a valid company registration number. SEO Supercharged may verify the details (including via VIES and the Crossroads Bank for Enterprises) and may refuse or suspend the order if the details are incorrect or cannot be verified.

1.5 Customer declaration. By ordering, the Customer expressly declares that it acts as a business, that the Kickstart is intended for its professional or business activity, that the business and identification details provided are correct, and that the person placing the order is authorised to bind the business. The Customer indemnifies SEO Supercharged against all consequences of an incorrect declaration, within the limits of art. 13.

1.6 No right of withdrawal. Since the Kickstart is concluded exclusively between businesses, the statutory right of withdrawal for consumers does not apply. This sentence follows from the capacity of the parties and is not irrebuttable proof of that capacity. Should the Customer nevertheless prove to be a consumer, art. 1.3 and art. 6.7 apply.

1.7 By ordering the Kickstart, the Customer accepts these Supplementary Terms in the version applicable at the time of ordering, the GT and the Data Processing Agreement (Annex C). Acceptance is recorded as set out in art. 17.3. Acceptance is valid only if the Customer was actually able to open the text before ordering. A pre-ticked box does not constitute acceptance.

1.8 The contracting party is Lux Production Group S.L. (CIF B72529811, Calle Sierra de Gredos 15, 03170 Rojales, Alicante), trading under the name SEO Supercharged. Invoices are issued by this entity. The trade name does not affect the identity of the contracting party.

2. Definitions

2.1 In these terms:

  • Customer: the business that orders the Kickstart, represented by the authorised person placing the order.
  • Deliverables: the components listed in art. 3.1, delivered on the Customer’s website.
  • Delivery: the moment at which SEO Supercharged notifies the Customer in writing by email that the Deliverables are live, accompanied by the Delivery File (art. 7.4).
  • Working Day: Monday to Friday, excluding Belgian and Spanish public holidays.
  • Credits / Balance: prepaid credit as defined in the GT.
  • Bonus Credits: the promotional credits granted with the Kickstart (art. 10).
  • Quality Check: the automated check by SEO Supercharged (more than 50 checkpoints) by which each page is assessed before publication.
  • Price Guarantee: the guarantee as strictly described in art. 9.
  • Delivery File: the evidence file referred to in art. 7.4.
  • Baseline Record: the recording of the technical starting situation referred to in art. 4.7.
  • Email address for notices: the address provided by the Customer when ordering, and for SEO Supercharged info@seowebsites.be.

3. What the Kickstart includes, and what it does not

3.1 Included: (a) intake meeting and creation of the site profile; (b) complete site structure with URLs and meta texts, pushed to the Customer’s WordPress site; (c) installation of the connection (plugin) and one first pillar article; (d) a starter batch of six service or product pages, checked through the Quality Check; (e) snippet and image optimisation on the core pages; (f) a baseline measurement of visibility in Google and AI; (g) two expert hours; (h) the Bonus Credits referred to in art. 10 for as long as the promotion runs.

3.2 Not included, unless agreed separately or provided via credits or expert hours: building, hosting, migrating or securing a website; remedying existing technical defects outside the scope; additional pages or articles beyond the starter batch; translations outside the agreed language; advertising campaigns; ongoing maintenance; legal, medical or regulated content requiring human professional review; changes to themes, design or third-party plugins.

3.3 Anything the Customer requires after the Kickstart is provided exclusively via credits or expert hours at the rates then applicable. No subscription or ongoing obligation ever arises.

4. Obligations of the Customer

4.1 The Customer provides, in a timely and complete manner: working WordPress administrator access (or installation of the plugin), domain and hosting details where required, an accurate description of services, target audience and service area, brand materials (logo, colours) and the answers to the intake questions.

4.2 The Customer warrants that all information, claims, texts, images and trademarks provided are accurate and that it is entitled to use them. The Customer remains solely responsible for the lawfulness of the content of its website (including advertising law, trademark law, sector rules, price indications and mandatory disclosures).

4.3 The Customer responds to questions or requests for feedback within 3 Working Days. It grants and maintains the necessary access to the website during performance and does not revoke it before Delivery, except for a well-founded security reason which it reports immediately.

4.4 The Customer ensures an up-to-date backup of its website before the start. SEO Supercharged is not liable for loss of data due to missing backups on the part of the Customer or its hosting provider.

4.5 The Customer designates one contact person who is authorised to take decisions and to accept Delivery.

4.6 Authority and ownership. At intake, preferably by email, the Customer confirms that it is the owner or lawful administrator of the domain and website on which the Kickstart is performed, and that the person placing the order is authorised to dispose of them. Disputes with third parties concerning ownership or management of the domain or website are exclusively for the Customer’s account. SEO Supercharged may suspend performance until such confirmation has been received.

4.7 Baseline Record. Before the start, SEO Supercharged, with the cooperation of the Customer, records the technical starting situation: hosting environment, WordPress version, active theme and plugins, existing sitemap and indexing status. As between the parties, this record serves as the reference for assessing defects and any technical impossibilities (art. 6.6).

5. Lead time

5.1 The lead time of 15 Working Days begins only on the first Working Day after (a) full payment has been definitively received (art. 6.2 and 6.8) and (b) the Customer has fully provided all access and information referred to in art. 4.1 and 4.7. The term is a best-efforts obligation, not a strict deadline, unless expressly agreed otherwise.

5.2 If SEO Supercharged is waiting on the Customer (missing access, information or feedback), the lead time is suspended for the duration of the delay. The waiting time is logged.

5.3 If, after a written reminder by email, the Customer fails for 30 calendar days to provide what is needed to start or continue, SEO Supercharged may close the file. Before closure, one reminder is sent with a period of at least 10 Working Days. The payment remains earned as compensation for the reserved capacity, the intake and the work already performed; whatever has already been set up remains the Customer’s. Reopening takes place at the rates then applicable.

5.4 Reciprocity. If, after full provision by the Customer, SEO Supercharged, through its own fault, delivers more than 15 Working Days later than the term in art. 5.1, the Customer may give SEO Supercharged written notice of default with a final period of 5 Working Days. If Delivery still does not take place, the Customer may cancel the components not yet delivered and the corresponding proportional part of the price will be refunded. Components already delivered remain earned and remain the Customer’s. This article is the express counterbalance to art. 6.6.

6. Price, payment and VAT

6.1 The price of the Kickstart is communicated before ordering and confirmed in the order confirmation. All prices for the Kickstart are exclusive of VAT, by way of derogation from art. 5.3 GT which applies to the App, except where the checkout must charge VAT for that customer type.

6.2 Full payment in advance: the full price of the Kickstart is payable upon ordering. Performance starts only after definitive receipt of full payment. There is no second payment moment.

6.3 VAT path. The checkout applies one of the following paths and logs which path applied:

  • Customer with a valid Spanish VAT number, or customer without a valid EU VAT number: the applicable Spanish VAT is charged.
  • Customer with a valid EU VAT number outside Spain, confirmed via VIES at the time of ordering: VAT reverse-charged (art. 196 VAT Directive). The Customer is responsible for the accuracy of the number provided.
  • VIES check fails or number invalid: no reverse charge. SEO Supercharged charges the applicable VAT or refuses the order until the number is correct.

A number subsequently found to be incorrect entitles SEO Supercharged to invoice the VAT after all, together with statutory interest. The Customer indemnifies SEO Supercharged against VAT, interest and penalties arising from an incorrect number provided by the Customer.

6.4 Subsequent transactions. Credits and expert hours purchased by the Customer after the Kickstart are paid in advance in accordance with the GT. If an invoice for a separately agreed service remains unpaid, the following are due by operation of law and without notice of default: the statutory interest for commercial transactions plus fixed compensation of 10% of the outstanding amount (minimum €150), without prejudice to collection costs. This fixed compensation replaces any penalty or damages clause in the GT for the same claim and is not cumulative. SEO Supercharged may suspend further services. The same arrangement applies in favour of the Customer where SEO Supercharged fails to pay in time an amount owed to the Customer.

6.5 Content on the Customer’s website is in no case removed or blocked by SEO Supercharged. The Customer remains its owner (art. 12). Components not yet delivered remain the property of SEO Supercharged until full payment (retention of title).

6.6 Refunds. The payment is non-refundable once performance has started, except in the following cases:

  • a demonstrable technical impossibility on the part of SEO Supercharged to deliver; the part not delivered is then refunded;
  • the proportional refund under art. 5.4;
  • a refund imposed by mandatory law.

An impossibility caused by the hosting, the CMS, themes, plugins, access restrictions or other circumstances on the Customer’s side, assessed against the Baseline Record of art. 4.7, does not give rise to a refund. No refund is due after Delivery. Defects are dealt with under art. 8 (rework). If the Customer closes the file itself or remains in default as referred to in art. 5.3, the payment remains earned. This article does not exclude liability for wilful misconduct or fraud.

6.7 Exceptional right of withdrawal. Should a court, notwithstanding art. 1.6, declare a right of withdrawal applicable, the following applies: (a) the Customer expressly requested that performance start immediately and acknowledged that it loses that right once the service has been fully performed and accepted; (b) if the Kickstart has been fully delivered and accepted in accordance with art. 7, the right of withdrawal has lapsed; (c) if the Kickstart has been partially performed, the Customer owes a proportional part of the price for the services already rendered, calculated on the basis of the completed components of art. 3.1 as recorded in the generation and publication log at the time of withdrawal. Bonus Credits lapse in any event (art. 10.3). This article does not waive any legal remedy.

6.8 Definitive payment. SEO Supercharged may postpone the start until the payment has been irrevocably confirmed by the payment processor and, in the event of an increased risk of fraud (including signals from the payment processor, an unverifiable VAT or company registration number, or a different cardholder), may request additional verification or refuse the order and refund what has already been collected.

7. Delivery and acceptance

7.1 Delivery takes place as defined in art. 2. The Customer checks the Deliverables and reports any reasoned defects in writing by email within 5 Working Days of the Delivery email.

7.2 In the absence of a reasoned objection within that period, or upon use (publishing, modifying or promoting the Deliverables), the Deliverables are deemed accepted. This acceptance applies only if the Delivery email, including the file and the period, was sent to the email address provided. A bounce or a demonstrably unreceived email suspends the period until a successful resend. Acceptance is rebuttable if the Customer demonstrates that it could not reasonably consult the email and the file.

7.3 If, before or during Delivery, the Customer revokes access, removes (parts of) the Deliverables, or modifies them itself or through third parties, this constitutes acceptance and the quality guarantee lapses for the modified parts.

7.4 Delivery File. On Delivery, SEO Supercharged compiles a file consisting of: the list of delivered components with URLs, dated screenshots of each live page, the generation and publication log, the outcome of the Quality Check per page, and the delivery notification. This file is provided to the Customer and serves, as between the parties and vis-à-vis payment processors, as evidence of performance and Delivery, subject to evidence to the contrary.

8. Quality guarantee (rework)

8.1 SEO Supercharged guarantees that each delivered page has passed the Quality Check and that structural defects (heading hierarchy, metadata, internal links, alt texts, valid markup, readability according to the check) are reworked free of charge when the Customer reports them with reasons within the period of art. 7.1, or within 30 calendar days of Delivery for defects that could not reasonably have been visible earlier.

8.2 The guarantee confers a right to rework, not to a refund, discount or damages, except where rework proves objectively impossible. In that case, the component concerned is refunded proportionally. This article does not exclude liability for wilful misconduct or fraud, nor any liability that mandatory law does not permit to be excluded.

8.3 Excluded: purely subjective taste or tone without an objective defect; changes made by the Customer or third parties; conflicts with the Customer’s themes, plugins, hosting or caching that did not appear in the Baseline Record or were changed afterwards; consequences of incorrect information provided by the Customer; legal or sector-specific requirements that the Customer did not report in advance; changes in search engines or AI systems after Delivery.

9. Price Guarantee: strict conditions

9.1 SEO Supercharged guarantees the keenest price within the “expert level” category for the same full scope as art. 3.1. If an offer meets all conditions of art. 9.2 and the claim is found to be well-founded, the price difference is paid out in credits to the Customer’s wallet. Payment is never made in money. The amount is capped at 25% of the Kickstart price paid. The credits follow the rules of art. 10.2: usable in the App, not exchangeable, not withdrawable and not transferable.

9.2 Cumulative conditions: (a) a written, dated and signed or email-confirmed offer from an identifiable professional provider established in the EU (name, company registration number, contact details); (b) the offer covers exactly the same full scope (all components of art. 3.1, same quantities, same language, same CMS connection), without a mandatory subscription or fixed monthly fee; (c) the offer is demonstrably of equal or higher quality: the provider supplies (or the Customer provides) a concrete example of delivered work that scores at least as high through the Quality Check of SEO Supercharged, or through an independent audit accepted by both parties; (d) it is not a promotion, introductory price, loss-leader price, discount code, bundled offer, quotation from an affiliated party, family member, employee or the Customer itself, nor an offer below the cost price of the underlying services; (e) the claim is submitted within 30 calendar days of Delivery, with all supporting documents.

9.3 Investigation first. SEO Supercharged investigates each claim and may contact the provider and request additional documents. The investigation takes no more than 15 Working Days after receipt of a complete file. The decision is reasoned in writing. Only if the Customer is right and the claim is well-founded are the credits paid out to the wallet, within 5 Working Days of the positive decision. A rejected claim gives rise to neither credits nor money.

9.4 Independent audit in case of dispute. If the Customer disputes a reasoned rejection, either party may request an independent audit by an SEO expert accepted by both parties. If, after the audit, the claim is declared well-founded, SEO Supercharged bears the audit costs and pays out the price difference in credits in accordance with art. 9.1. If the claim is declared unfounded, the Customer bears the audit costs and no payment follows.

9.5 A claim based on forged, manipulated, incomplete or incorrect documents is dealt with in accordance with art. 14. This is not an automatic qualification as fraud.

9.6 The Price Guarantee is personal, applies once per Kickstart and is not transferable.

9.7 Public communication about this guarantee uses the same limits as this article. The phrase “best price, guaranteed” is not used without a reference to these terms. The guarantee is not a guarantee of results.

10. Bonus Credits and wallet

10.1 The Bonus Credits (the starter credits) are a temporary promotion, for as long as the promotion runs, granted after definitive and full payment of the Kickstart.

10.2 Bonus Credits and all other wallet balance are not money: they can be used exclusively for services within the App, are not exchangeable for cash, not withdrawable, not transferable and cannot be set off against invoices (GT art. 7). No euro in the wallet, whether bonus or topped up, can be paid out, except where the law mandatorily requires this.

10.3 Bonus Credits lapse automatically upon: refund or reversal (chargeback) of (part of) the Kickstart; withdrawal or termination; closure of the account; establishment of abuse in accordance with art. 14; and after the expiry period of the GT (24 months after the last activity). Lapse upon chargeback applies only once the payment has actually been reversed.

10.4 SEO Supercharged may reclaim in money, at the normal credit price, Bonus Credits that have already been used if the grant resulted from established abuse or from a payment subsequently reversed and not settled after all.

10.5 One Kickstart entitles to one grant of Bonus Credits. Multiple accounts, email addresses or businesses of the same person or group used to obtain the bonus more than once constitute abuse once this has been established.

10.6 Use as a reference in return. In return for the Bonus Credits, the Customer grants SEO Supercharged a free, non-exclusive, worldwide licence to use (a) the name and logo of the business, (b) the website URL and (c) the visibility results of the Kickstart (scores, positions, mentions and their evolution, whether or not named) as a reference in the marketing and communications of SEO Supercharged, including the website, presentations, case studies, social media and sales materials. The logo is used solely to identify the Customer as a customer or reference, in the form supplied by the Customer and without modification, and never in a manner suggesting an endorsement or partnership that does not exist.

10.7 No personal data without separate consent. The licence of art. 10.6 does not include personal data. Photos, names, positions, voices or statements of natural persons (managing director, employees, customers of the Customer) are used only with the separate, freely given, express and revocable consent of the data subject, which is never made a condition of the Bonus Credits or of any service.

10.8 Objection and revocation. The Customer may revoke the reference licence at any time free of charge by email to info@seowebsites.be. If the Customer indicates before the grant of the Bonus Credits that it does not wish to be a reference, SEO Supercharged may limit or not grant the Bonus Credits; this is clearly communicated at the time of ordering. If the Customer revokes the licence after the grant, it retains the Bonus Credits already granted. SEO Supercharged ceases all new use within 30 calendar days and anonymises or removes material already published within the same period where reasonably possible (printed or already distributed material excepted).

10.9 Fair use. SEO Supercharged uses only actual, verifiable results, without misleading presentation or selective representation giving an incorrect impression, and does not disclose any confidential business information of the Customer beyond the visibility results.

10.10 Public wording. In marketing and at checkout, the promotion is referred to as “starter credits, in return for being named as a reference”, or an equivalent phrase that names the consideration. The phrase “free credits” is not used.

11. No guarantee of results

11.1 SEO Supercharged undertakes a best-efforts obligation: delivering the Deliverables in accordance with the Quality Check. It does not guarantee positions in Google or other search engines, any mention or recommendation by AI systems (ChatGPT, Perplexity, Gemini or others), visitor numbers, leads, revenue or return, nor any period within which visibility arises.

11.2 Search engines and AI systems are third-party services with their own changing rules. Changes therein after Delivery fall outside the responsibility of SEO Supercharged.

11.3 Estimates, scenarios or calculation examples in conversations, reports or documentation are indicative and do not constitute a commitment.

11.4 No oral commitments. Only arrangements recorded in writing (email, order confirmation, these terms) bind SEO Supercharged. Oral or informal statements by employees or representatives about expected positions, mentions or results are indicative and create no obligation. A specific commitment made via WhatsApp or another chat channel binds SEO Supercharged only if it is confirmed by email by an authorised person within 5 Working Days. Sales copy may not contradict art. 11.1.

12. Intellectual property and ownership

12.1 After full payment, the Customer owns the delivered texts, structure and images on its own website, insofar as the law and the terms of the underlying AI model providers permit. The Customer obtains a right to use the output for its business. Exclusivity is not guaranteed: similar output may arise in another assignment. SEO Supercharged does not promise copyright in output generated purely by a model. SEO Supercharged retains no claim whatsoever to the Customer’s website, domain or content, and the Customer may keep or take everything with it, including after termination.

12.2 The App, the software, the methodology, the Quality Check, prompts, report templates, trademarks and documentation remain the property of SEO Supercharged. The Customer obtains no licence to the App beyond normal use and may not resell, white-label or reverse-engineer the service.

12.3 The Customer indemnifies SEO Supercharged against any third-party claim arising from content, trademarks, images or claims provided by the Customer, within the limits of art. 13.

13. Liability and indemnification

13.1 AI-generated output may contain inaccuracies. The Customer remains responsible for final review, legal compliance and publication. SEO Supercharged is not a fact-checker and not a legal adviser.

13.2 The total liability of SEO Supercharged for the Kickstart is limited to the amount actually paid for the Kickstart, except in the case of wilful misconduct or fraud. Indirect damage (lost revenue, profit, reputation, data loss, declining positions) is excluded, insofar as mandatory law permits.

13.3 These limitations do not apply where the law prohibits them, nor in the case of wilful misconduct or fraud. An exclusion of gross negligence applies only insofar as the applicable mandatory law permits.

13.4 SEO Supercharged maintains professional liability insurance appropriate to this service, insofar as it is available on the market for a Spanish entity with Belgian and Dutch clients. The insured amount does not increase the cap of art. 13.2 and does not create a direct claim for the Customer against the insurer. Proof of cover is shared upon request.

14. Non-payment, abuse and suspension

14.1 A chargeback is non-payment, not fraud. If a payment processor reverses a payment, the amount concerned is deemed unpaid. SEO Supercharged may pause performance not yet completed, submit the Delivery File (art. 7.4) and the logs to the payment processor, and ask the Customer by email to pay the amount within 5 Working Days. Bonus Credits linked to that payment are blocked for as long as the payment remains outstanding, and lapse if the payment remains effectively reversed.

14.2 A chargeback in itself, even at the start of Delivery and even without a prior complaint, is not fraud and is not grounds for immediate termination or damages exceeding the outstanding amount. Extraordinary costs of a lost dispute (insofar as the card schemes recover them from the merchant) may be passed on.

14.3 Abuse. Only what has been established, not what is merely suspected, constitutes abuse: false or manipulated documents for the Price Guarantee or any other claim; an incorrect B2B declaration or incorrect identification details which the Customer knew or ought to have known were incorrect; creating multiple accounts or businesses to obtain bonuses or discounts more than once; sharing, reselling or improperly using access to the App; knowingly providing incorrect information; revoking access with the aim of not paying or frustrating performance; threats, intimidation or defamation directed at employees; using the service for unlawful content; payment with an unauthorised or stolen means of payment after the payment processor has confirmed this.

14.4 Escalation ladder. In the event of suspected abuse, SEO Supercharged in principle acts in three steps: (1) a written warning by email, with the opportunity to respond within 3 Working Days; (2) in the absence of an adequate response or in the event of repetition, suspension of the account and services; (3) upon confirmation, termination. SEO Supercharged may skip steps 1 and 2 and suspend immediately only in a serious and specific case: threats or intimidation, unlawful content, or a stolen means of payment confirmed by the payment processor. Even then, the Customer is informed as soon as reasonably possible and given the opportunity to respond, unless this would aggravate the abuse or a legal obligation prevents it.

14.5 In the event of established abuse, no refund is due, (Bonus) Credits lapse, benefits already granted are reclaimed and all reasonable costs of investigation, collection and legal assistance are borne by the Customer insofar as those costs are proportionate to the default. SEO Supercharged may report the matter to the competent authorities and inform payment processors.

14.6 SEO Supercharged contests chargebacks using the Delivery File (art. 7.4) and the App logs as evidence.

14.7 If a suspension subsequently proves unfounded, SEO Supercharged resumes the services without additional cost and the lead time is extended by the duration of the suspension. Bonus Credits that have already lapsed are reinstated in that case.

15. Privacy and data protection (GDPR)

15.1 For the Customer’s own data (contact details, billing, account details), SEO Supercharged is the controller. The Privacy Statement of the website applies.

15.2 For personal data located on or in the Customer’s website that SEO Supercharged processes in the course of performance (for example via the plugin or when reading in pages), SEO Supercharged acts as processor on behalf of the Customer. For this purpose, the parties enter into the Data Processing Agreement in Annex C, which forms an integral part of these terms and is accepted upon ordering.

15.3 SEO Supercharged engages sub-processors, including providers of AI models, search data, hosting, storage, payment and email. Fragments of the website, profile data and generated content may be sent to these providers. The current list is set out in Annex E and changes are communicated in accordance with Annex C.

15.4 The Customer warrants that it has a valid legal basis for the personal data it makes available to SEO Supercharged, and that it properly informs its own data subjects.

15.5 SEO Supercharged takes appropriate technical and organisational measures (encrypted storage of access keys, separation per organisation, access control, logging). Data is not retained longer than necessary for performance, statutory retention obligations and the defence of rights.

16. Confidentiality

16.1 The parties treat non-public information of the other party (including rates, internal reports, access credentials, working methods) as confidential. This does not prevent the Customer from freely using its own content, analysis and article, nor does it prevent SEO Supercharged from using the reference under art. 10.6.

17. Communication, acceptance and evidence

17.1 Notices that start a period running, a notice of default, a Delivery, an objection or a termination are legally valid only by email to the addresses provided when ordering. WhatsApp or another chat channel may supplement a message if the number or account was logged when ordering, but does not start a period running and does not constitute a notice of default.

17.2 The App logs (generations, publications, checks, timestamps) and the Delivery File serve, as between the parties, as evidence of performance and Delivery, subject to evidence to the contrary.

17.3 Recording of acceptance. When an order is placed, SEO Supercharged records for each separate checkbox (Annex A): the time, the IP address, the version and date of the accepted terms, the company registration and VAT number provided and the identity of the person placing the order, and the outcome of the VIES check where applicable. The boxes are unticked by default and are each logged separately. The Customer automatically receives a copy of the accepted terms by email. This record serves as evidence of acceptance, subject to evidence to the contrary. It does not apply if the terms could not be consulted at the time of ordering.

17.4 The Customer may request the logged acceptance via info@seowebsites.be.

18. Term and termination

18.1 The Kickstart is a one-time service. The agreement ends by operation of law upon Delivery and full payment. No subscription arises. Subsequent credits or expert hours are separate transactions under the GT.

18.2 After termination, the Customer retains everything on its website. Closure of the account takes place in accordance with the GT. Any remaining balance and Bonus Credits lapse at that point (GT art. 13.3), except where art. 14.7 requires reinstatement.

19. Force majeure and third parties

19.1 SEO Supercharged is not liable for delay or impossibility due to causes beyond its reasonable control, including outages or policy changes at AI model providers, search engines, hosting parties, payment processors or the Customer’s CMS. The lead time is extended by the duration of the force majeure. If the force majeure lasts longer than 30 calendar days and delivery is thereby objectively impossible, art. 6.6 applies to the part not delivered.

20. Governing law, disputes and version control

20.1 The complaints procedure of the GT (art. 14) applies in full: complaints via info@seowebsites.be with the subject “Klacht” (Complaint); response within 2 Working Days. The parties first attempt to reach a solution through mutual consultation.

20.2 These terms are governed by the law designated in the GT: the law of Spain. The court so designated has jurisdiction, without prejudice to mandatory provisions in favour of the Customer. This choice of forum applies only if the Customer has accepted the terms in accordance with art. 17.3.

20.3 If a provision is void, the remaining provisions continue to apply and the void provision is replaced by a valid one that most closely approximates its purpose, within the limits permitted by mandatory law.

20.4 Version control. Each version of these terms bears a version number and a date. An order is governed by the version that applied and was accepted at the time of ordering (art. 17.3). SEO Supercharged keeps every version and provides it upon request. Changes apply only to orders placed after the effective date of the new version.

Annex A: Checkout (mandatory fields and checkboxes)

Mandatory fields before ordering: business name; company registration number (KBO/KVK); VAT number (where applicable); VIES outcome (valid / not applicable / refused); name and position of the authorised person placing the order; website/domain; email; mobile number.

Each box separately, unticked by default, each logged separately (art. 17.3). The terms can be opened via a link before the box is presented. A pre-ticked box is invalid.

  • I am ordering as a business (B2B). I declare that I am acting in the course of my trade, business or profession, that the business and company registration number provided are correct, and that I am authorised to bind this business. I understand that the Kickstart is not offered to consumers and that the consumer right of withdrawal does not apply.
  • Immediate performance. I pay for the Kickstart in full in advance and expressly request that performance start as soon as my payment has been received. I acknowledge that the payment is non-refundable from the start, except in the case of a technical impossibility on the part of SEO Supercharged, the proportional refund under art. 5.4, or where mandatory law requires it. Should a right of withdrawal nevertheless apply in an exceptional case, a proportional part is due for the work already delivered and that right lapses only once the service has been fully delivered and accepted.
  • No guarantee of results. I understand that SEO Supercharged guarantees the quality of the work, but cannot guarantee positions in search engines, mentions by AI systems, or visitors or revenue, and that oral or chat statements on these matters do not constitute an obligation unless confirmed by email.
  • Bonus Credits. I understand that the starter credits are a temporary promotion, usable only in the App, not exchangeable for money, not withdrawable or transferable, and that they lapse upon refund, chargeback, withdrawal, termination or established abuse.
  • Reference in return for the starter credits. In return for the starter credits, SEO Supercharged may use the name, logo, website and visibility results of my business as a reference in its marketing (art. 10.6). I can revoke this at any time by email (art. 10.8). Photos, names or statements of individuals are never used without separate consent (art. 10.7). Annex C: Data Processing Agreement

GDPR art. 28. The Customer is the controller for personal data on its website. SEO Supercharged / Lux Production Group S.L. is the processor for the Kickstart. This annex is accepted via the checkbox in Annex A.

C.1 Subject matter. The processor processes personal data solely to perform the Kickstart: reading in existing pages, generating and publishing texts and metadata, quality control, and the Delivery File. Processing for its own marketing does not fall under this annex, except the reference under art. 10.6, which does not include personal data.

C.2 Duration. This agreement applies for the duration of the Kickstart and until the erasure or return referred to in art. C.9. Statutory retention obligations continue to apply to invoice and evidence data, for which the processor is the controller (art. 15.1).

C.3 Nature and purpose. One-time migration and publication of content. No sale of data, no profiling of the Customer’s visitors, no use of the Customer’s content to train a general model, unless a sub-processor does so under its own terms and Annex E states this.

C.4 Types of data and data subjects. Account and contact details of the Customer (as controller, not as processor). On the Customer’s website: names, positions, photos, testimonials, contact details and other personal data that the Customer publishes there. Data subjects: visitors, customers, leads and employees of the Customer, insofar as their data appears on the site.

C.5 Instructions. The processor processes only on documented instructions from the Customer, being these terms and the intake. If the processor considers that an instruction infringes the GDPR, it reports this before performance, unless the law prohibits such notification.

C.6 Confidentiality. Persons who have access are bound by confidentiality.

C.7 Security. The processor takes measures appropriate to the risk: access restriction per employee, separation per customer, encrypted storage of access keys, logging of publications, and backup insofar as the Customer is not required to make it itself (art. 4.4).

C.8 Sub-processors. The Customer gives general authorisation for the sub-processors in Annex E. An intended addition or replacement is notified by email at least 15 calendar days in advance. The Customer may object on reasonable grounds relating to data protection. The processor imposes the same obligations on the sub-processor.

C.9 Data subject rights and assistance. The processor reports a request from a data subject to the Customer, and assistance remains limited to what is reasonable for this one-time service. After the end of the Kickstart, the processor erases the page content read in solely for performance within 90 calendar days, except what must remain in the Delivery File until the end of the statutory limitation period, and except what the Customer itself has on its site.

C.10 Breach. The processor notifies the Customer of a personal data breach without undue delay after becoming aware of it, with the information the Customer needs to assess its own obligation.

C.11 Transfers. Where a transfer outside the EEA takes place, the mechanism is set out in Annex E (adequacy decision, standard contractual clauses or another valid basis). If no valid mechanism exists, that sub-processor is not used for the Customer’s data.

C.12 Audit. The Customer may request information in writing once per assignment to demonstrate compliance. An on-site audit is only appropriate where there is a specific indication of a breach, with a reasonable notice period and at the Customer’s expense, unless the breach is established.

C.13 Liability under this annex follows art. 13, insofar as the GDPR permits. This annex does not derogate from the mandatory obligations of art. 28 GDPR.

Annex E: Sub-processors

  • Payment: Stripe. Collection and fraud signals from the payment processor. USA, in accordance with the Stripe DPA.

Changes in accordance with art. C.8: at least 15 calendar days in advance by email. A sub-processor without a valid transfer mechanism is not engaged.
